1. Acceptance of Terms

By accessing and using Karipe ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service govern your use of the Karipe platform, including all content, services, and products available at or through the platform.

2. Description of Service

Karipe is a digital marketplace that connects homeowners with contractors for home improvement, repair, and maintenance services. We provide:

• A platform for posting and responding to project requests
• AI-powered contractor matching services
• Escrow payment processing for project milestones
• Communication tools and project management features
• Review and rating systems for quality assurance
• Comprehensive contractor productivity tools and CRM

3. User Accounts

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Use strong passwords and enable two-factor authentication when available

4. User Responsibilities

For Homeowners:

• Provide accurate project descriptions and requirements
• Pay contractors according to agreed milestones
• Communicate respectfully with contractors
• Provide honest reviews upon project completion
• Allow reasonable access for contractors to complete work
• Maintain a safe work environment

For Contractors:

• Maintain proper licensing and insurance as required by law
• Provide accurate information about qualifications and experience
• Complete work according to agreed specifications and timelines
• Communicate professionally with homeowners
• Follow all applicable building codes and safety regulations
• Maintain appropriate professional standards

5. Platform Fees

Karipe charges service fees for facilitating transactions. Fees are clearly disclosed before payment and are non-refundable except as required by law. Payment processing is handled securely through Stripe Connect.

6. Prohibited Uses

You may not use our Platform:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To circumvent our fees or payment systems
• To create multiple accounts to evade restrictions

7. Payment Terms and Escrow

All payments on the Platform are processed through our secure escrow system powered by Stripe. Funds are held until project milestones are completed and approved by the homeowner. See our Escrow Terms for complete details.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by Karipe and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Limitation of Liability

Karipe acts as a marketplace platform connecting users. We are not responsible for the actual services performed between homeowners and contractors. Our liability is limited to the maximum extent permitted by law. IN NO EVENT SHALL KARIPE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Dispute Resolution

Any disputes arising from your use of the Platform will be resolved through our dispute resolution process as outlined in our Dispute Resolution Policy. This includes mediation and, if necessary, binding arbitration.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform ceases immediately.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
